1. Introduction and Acceptance

(“BuildZoom,” “we,” “us,” or “our”). By accessing or using the Site, you (“you” or “User”) agree to be bound by these Terms. If you do not agree, do not access or use the Site.

If you are accessing the Site on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to “you” include that organization.

2. Relationship to License Agreements

BuildZoom offers data products and services, including bulk data, APIs, and data exploration tools, that are governed by separate written agreements between you and BuildZoom (each, a “License Agreement”). These Terms govern your use of the Site itself and do not modify, limit, or supersede any License Agreement. In the event of a conflict between these Terms and a License Agreement with respect to the subject matter of that License Agreement, the License Agreement controls.

3. Changes to These Terms

We may update these Terms from time to time by posting the revised version on the Site with an updated “Last Updated” date. Changes become effective fourteen (14) days after posting, except that changes required by law or addressing security issues may take effect immediately. Your continued use of the Site after the effective date of any changes constitutes acceptance of the updated Terms.

4. Accounts

Certain features of the Site may require you to register for an account. You agree to provide accurate and complete registration information, keep your login credentials confidential, and promptly notify us of any unauthorized use of your account. You are responsible for all activity occurring under your account. We reserve the right to suspend or terminate any account at any time, with or without cause, and with or without notice.

7. impersonate any person or entity, or misrepresent your affiliation with any person or entity; or
8. use the Site for competitive analysis, benchmarking, or to develop a competing product or service, except to the extent such restriction is prohibited by applicable law.

The Site and all content, features, functionality, software, text, graphics, logos, and trademarks displayed on or through the Site (collectively, “Site Content”) are owned by or licensed to BuildZoom and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Site Content except the limited use rights expressly set out herein.

For clarity, any data made available to you under a License Agreement is governed exclusively by that License Agreement and not by this Section 6.

7. Privacy

Your use of the Site is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and share information.

8. Third-Party Links

The Site may contain links to third-party websites or resources. These links are provided for convenience only, and BuildZoom does not endorse and is not responsible for the content, products, or services available from such third-party sites. You access third-party sites at your own risk.

9. Disclaimer of Warranties

THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BUILDZOOM DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED FROM THE SITE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

This Section 9 does not apply to any warranties or representations made in a License Agreement.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BUILDZOOM OR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF BUILDZOOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDZOOM’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO BUILDZOOM FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

The limitations in this Section 10 apply only to liability arising under these Terms with respect to the Site. Liability arising under a License Agreement is governed exclusively by that License Agreement.

11. Indemnification

You agree to indemnify, defend, and hold harmless BuildZoom and its affiliates, and their respective directors, officers, employees, and agents, from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site in violation of these Terms, (b) your violation of any applicable law, or (c) your infringement of any third-party right.

12. Suspension and Termination

We may monitor and analyze your use of the Site, including support communications and platform activity, for security, fraud prevention, product improvement, and customer support purposes. We will not sell information obtained through such monitoring to third parties. We may suspend or terminate your access to the Site, in whole or in part, at any time and for any reason, including for breach of these Terms.

Upon termination, Sections 6 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law and Jurisdiction) will survive.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms that is not subject to a separate dispute resolution mechanism in a License Agreement will be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

14. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any applicable License Agreement, constitute the entire agreement between you and BuildZoom with respect to the subject matter hereof.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Waiver. BuildZoom’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment. You may not assign or transfer these Terms or any rights hereunder without BuildZoom’s prior written consent. BuildZoom may assign these Terms without restriction.

Notices. BuildZoom may provide notices to you via email to the address associated with your account or by posting on the Site.

Force Majeure. BuildZoom will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government action, or internet or telecommunications failures.
